MATERIALS RELEASE
By responding with #SORORITYACCEPT on your photo(s) or video(s) (“Materials”) you grant to Her Campus Media LLC (“HCM”),its assignees and licensees (collectively, “HCM Parties”) a royalty-free, irrevocable, sublicensable, worldwide, perpetual right and gratis license to host, store, cache, use, display, reproduce, modify, adapt, edit, caption, translate, publish, analyze, transmit, distribute, create derivative works from, advertise, promote, exhibit, broadcast, publicly perform, and publicly display all or any portion of the Materials, in any and all media, for all purposes. HCM may accord you credit in connection with the Materials, as reasonably practicable and at HCM’s sole and complete discretion. Notwithstanding the foregoing, the HCM Parties are under no obligation to use your name on or in connection with the Materials, distribute the Materials, or exercise any of the rights, licenses, and privileges granted.
Without limiting any other obligations that you may have, you represent and warrant that: (i) you are 18 years of age or the age of majority and competent to contract in your own name; (ii) you have the exclusive right to grant all the rights herein conveyed; (iii) you have obtained all required clearances, consents, and licenses necessary with respect to HCM Parties’ use of the Material contemplated herein, including, but not limited to, clearances, license, rights, and/or permissions from all persons appearing in or rendering services in connection with the Material, as well as all copyright clearances and permissions; and (v) the Materials do not contain any scandalous, libelous, or unlawful material, or infringe upon any third party’s intellectual or other proprietary rights, such as the copyrights, trademarks, or rights of privacy and publicity. You assume liability for, and shall indemnify, defend, protect, save, and hold harmless the HCM Parties and each of their distributors, assigns, licensees, affiliates, shareholders, directors, officers, employees, and agents (collectively, the “Indemnified Parties”) from and against any and all claims, actions, suits, costs, liabilities, judgments, obligations, losses, penalties, expenses, or damages (including reasonable attorneys’ fees and costs) of whatsoever kind and nature imposed on, incurred by, or asserted against any of the Indemnified Parties arising out of any breach or alleged breach by you of any representation, warranty, or covenant made, or obligation assumed by you pursuant to this Materials Release. You and Your representatives, heirs, successors, and assigns hereby absolutely, unconditionally, and forever hold harmless, release, discharge, and covenant not to sue the Indemnified Parties from all claims, demands, causes of action, damages, liabilities, costs, and obligations, whatsoever, whether known or unknown, resulting from the HCM Parties’ use of the Materials as permitted herein. Once submitted, your release may not be rescinded and you expressly waive all rights to seek or obtain injunctive or other equitable relief. Your remedy for any breach of this Materials Release is limited to monetary damages at law, if any. Nothing in this Materials Release will be construed to imply a joint venture, principal-agent, or employment relationship between you and the HCM Parties. This Materials Release and any dispute or controversy related to the existence, validity, meaning, interpretation, or alleged breach shall in all respects be interpreted, enforced, construed, and governed by the laws of Massachusetts and venue for all claims is proper exclusively in Suffolk County, Massachusetts. You expressly consent to personal jurisdiction in Suffolk County, Massachusetts. This Materials Release incorporates by reference the HCM Privacy Policy.
